The company
Our client is one of the largest privately owned contract manufacturing company's specialising in healthcare supplements and dairy products based in Australian and New Zealand. With 5 manufacturing sites located in both AUS and NZ which have been fully licensed by TGA & Medsafe & equipped with cutting edge equipment and world-class facilities; They have always committed to deliver the best quality products and exceptional services to ensure the success of their clients from both local and overseas.
The role
They are currently undergoing fast growth and extensive expansion, hence, there is an exciting opportunity for a highly motivated, ambitious and result-driven talent to join them as a Corporate Legal Counsel. In this role, you will report to the Deputy GM and will be advising on legal and regulatory matters across a number of entities within the Group in Australia and New Zealand.
In order to succeed in this position, you will need to demonstrate the ability to think on your feet, actively attend to matters, take initiative, critical thinking with a problem-solving approach, and especially display the mindset a of can-do attitude with a strong sense of ownership in daily performance.
Key responsibilities (but are not limited to)
·Reviewing, negotiating and advising on a wide variety of commercial contracts, including supply agreement, manufacturing agreement, distribution agreement, licensing agreement, NDA, etc;
·Reviewing and approving marketing and promotional materials;
·Develops, initiates, maintains, and revises policies and procedures for the general operation of the business and its related activities to prevent illegal, unethical, or improper conduct;
·Collaborate with other departments (e.g., Finance; R & D; HR, etc.) to direct compliance issues to appropriate channels for investigation and resolution. Consults with external legal advisors as needed to resolve difficult legal issues;
·Providing the Group and leadership team with clear, concise and commercially oriented legal advice across a broad range of issues including key contracts, Corporations Act, competition laws, ACL and M&A;
·Assisting in ensuring policies and procedures are in line with regulatory changes;
·Assisting in the implementation of risk management within the business;
·Instructing and managing a panel of external lawyers; and
·Managing claims, disputes and litigation.
·
Desired qualifications and competencies
·Australian legal qualifications from reputable institutions;
·A current unrestricted Australian practising certificate;
·At least 3+ PQE in corporate/commercial law areas obtained from either a leading law firm or an in-house legal team;
·Any experience in providing legal services or advice to the complementary medicines, natural health products manufacturing industry will be highly regarded;
·Any experience in property law area will be highly regarded, however not essential; and
·Strong stakeholder management skills.
·Exceptional written and verbal communication with the display of professional manners.
·Demonstrated high level of accuracy and attention to details
·Leadership capabilities as you will be managing / mentoring a Junior Lawyer.
